Partnership Agreement

1. Partner Responsibilities

As a Diffusion Partner, you agree to:

  • Promote Diffusion products and services honestly and accurately
  • Comply with all applicable advertising and marketing laws
  • Not make false claims or guarantees about our products
  • Use only approved marketing materials or obtain written permission for custom content
  • Disclose your partnership relationship when promoting our products
  • Not engage in spam, fraudulent activity, or unethical marketing practices
  • Maintain the reputation and integrity of the Diffusion brand

2. Commission Structure

  • Partners earn 15% commission on qualifying sales
  • Commissions are calculated on the net sale amount (excluding taxes and shipping)
  • Sales must be completed and payment received for commission to be earned
  • Returned or refunded purchases will result in commission reversal
  • Minimum payout threshold is R500
  • Commissions are paid monthly, 30 days after the end of each month

3. Partner Code Usage

  • Your unique partner code is non-transferable and personal to you
  • You may not share, sell, or transfer your partner code to others
  • Self-purchases using your own code are not eligible for commission
  • Diffusion reserves the right to audit code usage and decline suspicious transactions

4. Content Guidelines

  • All promotional content must be approved by Diffusion before use
  • You may not alter our logos, brand colors, or official materials
  • Content must not contain offensive, discriminatory, or inappropriate material
  • You must comply with platform-specific advertising policies (Facebook, Instagram, Google, etc.)
  • Medical or technical claims about products must be pre-approved in writing

5. Prohibited Activities

  • Bidding on Diffusion brand keywords in paid search campaigns
  • Creating misleading URLs or domain names containing "Diffusion"
  • Offering unauthorized discounts or price guarantees
  • Impersonating Diffusion employees or official representatives
  • Engaging in cookie stuffing, fraud, or deceptive tracking practices
  • Promoting on adult, illegal, or otherwise inappropriate websites

6. Intellectual Property

  • Diffusion retains all rights to its trademarks, logos, and brand materials
  • Partners receive a limited license to use approved materials for promotion only
  • This license terminates immediately upon partnership termination
  • You may not register domains, social media handles, or business names containing "Diffusion"

7. Data & Privacy

  • Partners must comply with POPIA (Protection of Personal Information Act) and GDPR
  • Customer data may not be shared, sold, or used for purposes other than Diffusion promotion
  • Partners must maintain appropriate data security measures
  • Any data breach must be reported to Diffusion within 24 hours

8. Term & Termination

  • This agreement is effective upon approval and continues until terminated
  • Either party may terminate with 30 days written notice
  • Diffusion may terminate immediately for breach of terms
  • Upon termination, you must cease all use of Diffusion marketing materials
  • Earned commissions will be paid out according to normal schedule
  • Pending commissions may be forfeited if termination is due to partner violation

9. Limitation of Liability

  • Diffusion is not liable for any indirect, incidental, or consequential damages
  • Partners are independent contractors, not employees or agents of Diffusion
  • Partners are responsible for their own taxes and business expenses
  • Diffusion reserves the right to modify commission rates with 30 days notice

10. Amendments

  • Diffusion may update these terms at any time
  • Partners will be notified of material changes via email
  • Continued participation after changes constitutes acceptance

11. Governing Law

This agreement is governed by the laws of South Africa. Any disputes shall be resolved in the courts of South Africa.
